BeProducktive provides AI-powered digital marketing and advertising services, including but not limited to:

• AI Advertising & Paid Media: Machine learning-optimized campaigns across Google, Meta, LinkedIn, and programmatic networks with algorithmic bidding strategies
• Social Media Marketing: Data-driven social strategies for brand awareness and lead generation with platform-specific content optimization
• Performance Analytics: Real-time dashboards, attribution modeling, and predictive analytics to understand where your budget delivers results
• Marketing Automation: Intelligent workflows for lead nurturing, email sequences, and cross-channel campaigns with custom algorithms

Service specifics, deliverables, and timelines will be detailed in individual service agreements or statements of work provided to clients.

When using our services, you agree to:

• Provide accurate and complete information when requested
• Maintain the confidentiality of any account credentials
• Promptly notify us of any unauthorized access to your account
• Use our services only for lawful purposes and in compliance with all applicable laws
• Not attempt to interfere with or disrupt our services or servers
• Not reproduce, duplicate, copy, sell, or resell any part of our services without permission
• Cooperate reasonably in the delivery of consulting and training services

Failure to comply with these responsibilities may result in suspension or termination of services.

Some features of our services may require registration. When registering, you agree to:

• Provide accurate, current, and complete registration information
• Maintain and update your information to keep it accurate and current
• Be responsible for all activities that occur under your account
• Keep your password secure and confidential
• Notify us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate accounts that violate these Terms or contain false information.

Payment terms for our services are as follows:

• Pricing: Service fees are provided in individual quotes or service agreements. All prices are in USD unless otherwise specified.
• Payment Schedule: Payment schedules will be outlined in your service agreement. Generally, a deposit may be required before services commence.
• Payment Methods: We accept major credit cards, bank transfers, and other payment methods as specified.
• Late Payments: Late payments may incur interest charges and may result in suspension of services.
• Refunds: Refund policies are detailed in individual service agreements. Generally, deposits for consulting services are non-refundable once work has commenced.

All fees are exclusive of taxes, which will be added where applicable.

Our Intellectual Property:

• All content, materials, trademarks, and intellectual property on our website are owned by BeProducktive
• Our methodologies, frameworks, training materials, and processes are proprietary
• You may not copy, modify, distribute, or create derivative works without our written permission

Client Materials:

• You retain ownership of any materials, data, or content you provide to us
• You grant us a limited license to use your materials solely for providing our services

Deliverables:

• Ownership of deliverables created specifically for you will be detailed in your service agreement
• Generally, client-specific deliverables become the property of the client upon full payment

We understand the sensitive nature of business information. Both parties agree to:

• Keep confidential any non-public information shared during the course of our engagement
• Use confidential information only for purposes related to providing or receiving services
• Not disclose confidential information to third parties without written consent
• Return or destroy confidential information upon request or termination of services

This confidentiality obligation shall survive termination of services for a period of three (3) years.

To the maximum extent permitted by applicable law:

• BeProducktive shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability for any claim arising from services shall not exceed the amount paid by you for those services
• We do not guarantee specific results from our consulting or training services
• Results depend on various factors including your implementation of recommendations

Disclaimer: Our services are provided "as is" and "as available." We disclaim all warranties, express or implied, including warranties of merchantability and fitness for a particular purpose.

You agree to indemnify, defend, and hold harmless BeProducktive and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from:

• Your use of our services
• Your violation of these Terms
• Your violation of any third-party rights
• Any content or materials you provide to us

Either party may terminate services:

• By Client: With written notice as specified in your service agreement. Early termination may be subject to cancellation fees.
• By BeProducktive: If you breach these Terms, fail to make timely payments, or engage in conduct that is harmful to our business or reputation.
• Mutual Agreement: Both parties may agree to terminate services at any time.

Upon termination:

• You must pay for all services rendered up to the termination date
• Access to any client portals or resources will be revoked
• Confidentiality obligations remain in effect

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any disputes arising from these Terms or our services shall be resolved through:

• Negotiation: The parties will first attempt to resolve disputes through good-faith negotiation
• Mediation: If negotiation fails, disputes may be submitted to mediation
• Arbitration: Binding arbitration under the rules of the American Arbitration Association, with the decision being final and binding

You agree to waive any right to participate in class action lawsuits against BeProducktive.

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website. We will provide notice of material changes by:

• Posting a notice on our website
• Updating the "Last Updated" date at the top of this page
• Sending an email to active clients for significant changes

Your continued use of our services after changes are posted constitutes acceptance of the modified Terms. If you do not agree with any changes, you should discontinue use of our services.
